ACCEPTANCE OF TERMS
Having been granted permission to post on the ArtsBuild Ontario (ABO) vendor website, the undersigned vendor acknowledges and agrees with the following terms and conditions.
NON-ENDORSEMENT POLICY
ArtsBuild Ontario (ABO) does not endorse the vendors, organizations or services registered and published on ABO’s Vendor Directory. ABO does not guarantee the quality, legality, truth or accuracy of any Vendor or service listing.
PRIVACY POLICY
By registering on ABO’s Vendor Directory, ABO obtains your consent to send you commercial electronic messages. From time to time, ABO will inform you of events and activities and notify you of issues, special events and offers which may be of interest to you.
You may unsubscribe from these updates at any time using the unsubscribe mechanism included in all electronic communications. If you unsubscribe from our electronic communications, we reserve the right to contact you directly regarding your participation in the Vendor Directory – to facilitate, complete or confirm a commercial transaction or provide safety and security information about your account.
ABO does not trade or exchange mailing lists and will not provide information to any third party without permission. Please contact ABO for further information at vendordirectory@artsbuildontario.ca.
SERVICE FEE, REFUND AND CANCELLATION
You agree to register as a Vendor on ABO’s Vendor Directory and acknowledge that payment of the registration fee, where applicable, is made in advance annually. You acknowledge that your subscription to ABO’s Vendor Directory shall be automatically renewed at the expiry of any subscription period for a period of time equal to the initial subscription. ABO is authorized to charge the credit card used at time of registration for all charges when due and for the renewal of subscriptions.
Vendors and organizations may request to be invoiced rather than pay by credit card through the ABO Vendor Directory by emailing vendordirectory@artsbuildontario.ca. ABO will provide account access after an invoice is issued to the Vendor/organization; however, vendor listings will only be published after receipt of payment.
You acknowledge that ABO reserves the right to change subscription fees at anytime. Registered Vendors and organizations will be notified of any fee changes 30 days prior to their annual subscription renewal.
In the event that a Vendor or organization would like to cancel their auto-renewal to ABO’s Vendor Directory or services, vendors can cancel their account and/or auto-renewal of their subscription at anytime. ABO will not issue refunds or pro-rated refunds for cancelled accounts or subscriptions at anytime. For more information, please contact ABO directly at vendordirectory@artsbuildontario.ca.
MEMBERSHIP, PASSWORD AND SECURITY
When you register or create an account on ABO’s Vendor Directory, you must provide current and complete information as prompted by the registration form, and pay any and all subscription fees. You will need to choose a password to go with your username and email address. You are entirely responsible for maintaining the confidentiality of your password and are responsible for all activities that occur under your account. You agree to notify ABO immediately of any unauthorized use of your account or any other breach of security. ABO will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. You may not use anyone else’s account at anytime without express permission of both the account holder and ABO.
You agree that that you are responsible for providing your current delivery or invoicing address or email address to ABO for the ABO Vendor Directory. You will immediately notify ABO of any change of your address through the ABO Vendor Directory or by contacting ABO directly. You acknowledge that ABO shall bear no responsibility or liability for failure to do so.
NO UNLAWFUL OR PROHIBITED USE
You will not use ABO’s services for any purpose that is unlawful or prohibited by these terms, conditions and notices. You may not use ABO’s Vendor Directory in any way that could damage, disable, overburden or impair ABO’s server, or the networks connected to ABO’s server, or interfere with any other party’s use of the service. You may not attempt to gain unauthorized access to other accounts, computer systems or networks connected to ABO’s server through hacking, password mining or any other means.
MATERIALS PROVIDED ON VENDOR DIRECTORY
ABO does not claim ownership of the materials you provide on ABO’s Vendor Directory or other services. However, by publishing your services and experience on ABO’s Vendor Directory, you are granting ABO permission without limitation the licence rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Vendor submission. ABO is under no obligation to publish or promote any Vendor listing and account at any time. ABO may remove any Vendor listing or account or any information, images or photographs posted by you at any time and for any reason in its sole discretion. You acknowledge that links to other websites throughout ABO’s Vendor Directory and services do not imply any endorsement or approval by ABO.
IMAGES AND PHOTOGRAPHS
By publishing a Vendor listing that contains images, photographs or pictures, you warrant and represent that (a) you are the copyright owner of such images or that the copyright owner of such images has granted you permission to use them (b) each person depicted in such images has provided consent to the public use, distribution and reproduction of the images. ABO reserves the right to remove photos at any time.
INTERRUPTION OF SERVICE
ABO will take reasonable effort to make the ABO Vendor Directory and its services available. ABO is not responsible for any damages or losses related to system error or interruption.
LIMIT OF LIABILITY
You acknowledge that ABO assumes no responsibility for the availability, accuracy, acuteness, completeness or timeliness of any of the information, or the fitness of such information for any particular purpose.
To the extent allowed by applicable law, in no event shall ABO or any of its directors, officers, employees, advisors, agents or insurers be liable to the Client, its directors, officers, employees, agents
for any damages of any kind arising from the use of this or any other related website or from any information, content, materials, products, or services on or otherwise made available to you through this or any other related website, including but not limited to direct, indirect, incidental, punitive and consequential damagers unless otherwise specified in writing.
ABO’s Vendor Directory and all information, content, materials, products and services included or otherwise made available to you through the site are provided by an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, as to the operation of this or any other related website, content, materials, products or services included or made available to you through this or any other related website. You expressly agree that your use of this or any other related website is at your sole risk.
INDEMNIFICATION OF ABO
You agree to indemnify and hold harmless ABO and its officers, directors, employees, agents and subcontractors for any loss, damage, cost, expense, liability or claim suffered or incurred by, or made against ABO arising directly or indirectly out of or from your breach of these Terms of Agreement and your activities in connection with ABO and ABO’s Vendor Directory or any act or omission or your negligence in the use of, access to and posting on the ABO Vendor Directory.
MODIFICATION AND TERMINATION
We may change the Terms and Conditions of this agreement from time to time. By continuing to use the ABO Vendor Directory after we post any changes, you accept the Agreement, as modified.
These Terms and Conditions shall remain effective until terminated. We reserve the right to immediately terminate these Terms and Conditions and your access to ABO’s Vendor Directory or other services at anytime, for any reason, without cause, including when you fail to pay the registration fee or any other charges incurred by you.
In the event your access to ABO’s Vendor Directory is terminated or your Vendor listing or account or other information, images or photographs posted by you are removed by ABO for any reason, you will not be entitled to any refund of fees paid to ABO.
